By accessing or using the SetuVision website (vision.setulytix.com) or the SetuVision application, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the website or platform.
These terms apply to all visitors to the website and all registered users of the SetuVision platform.
SetuVision is an AI-powered vision data annotation and dataset management platform, developed and operated by SetuLytix Private Limited, an AI-native business services company that develops intelligent systems to transform customer interactions and build advanced data annotation pipelines. Incorporated in December 2025, the company is headquartered in Anandpur kalu, Rajasthan, India.
You agree to use the SetuVision website and platform only for lawful purposes. You must not:
We reserve the right to suspend or terminate access for any user who violates these terms.
To use the SetuVision platform, you must register for an account. You represent and warrant that all registration information you submit is accurate and truthful. You are responsible for keeping your credentials secure and are fully responsible for all activities under your account.
We offer various subscription tiers, including free trials, monthly, and annual paid plans. Pricing, features, limits, and billing cycles are detailed on our pricing page or custom enterprise quotes. By signing up for a paid plan, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis.
Unless stated otherwise, all platform fees are exclusive of applicable taxes. For Indian clients, Goods and Services Tax (GST) will be charged in accordance with Indian tax laws. You agree to provide your correct GSTIN registration details if you wish to claim tax input credit.
You retain full ownership of any images, videos, annotations, and datasets that you upload to SetuVision. By uploading content, you grant SetuLytix Private Limited a limited, worldwide, non-exclusive license to process and store your content solely to deliver the platform's dataset preparation and annotation features to you.
You represent and warrant that: (i) you own or have obtained all necessary licenses, consents (including personal data consents under Indian DPDPA and European GDPR), and rights to process, annotate, and upload your visual media; and (ii) your content does not violate any third-party copyright, patent, trademark, or privacy rights.
Processor vs. Controller: Under applicable data protection frameworks (such as Indian DPDPA and European GDPR), the Customer acts as the Data Fiduciary (or Data Controller) and SetuLytix Private Limited acts solely as a Data Processor when handling personal data uploaded to the platform. We will only process such personal data on the documented instructions of the Customer.
Data Portability: You have the right to export and port your datasets and annotations at any time. We support downloading annotations in standard machine-readable formats (e.g., COCO, YOLO, JSON).
Supervisory Authority Complaints: You and your users have the right to lodge complaints regarding our data processing activities with the competent supervisory authority, such as the Data Protection Board of India (DPBI) or relevant EU/UK Data Protection Authorities. In India, you must first exhaust our internal dispute and grievance mechanisms before approaching the DPBI.
Cross-Border Transfers: To provide our cloud-based platform services, we store and process data using global cloud infrastructure providers (primarily AWS). For Indian clients, cross-border transfers are conducted in compliance with Section 16 of the DPDPA (permitting transfers to non-restricted countries). For European Union and UK clients, transfers are protected by Standard Contractual Clauses (SCCs) or conducted with entities in jurisdictions recognized as providing adequate data protection safeguards.
SetuVision is designed for legitimate machine learning and computer vision dataset preparation. You may not use the platform to:
Suspension for Security Reasons: We reserve the right to suspend, restrict, or terminate your access to the platform immediately, without prior notice or liability, if we reasonably suspect: (i) a security threat to our systems, infrastructure, or other users; (ii) unauthorized access or compromised account credentials; (iii) a Denial of Service (DoS) or Distributed Denial of Service (DDoS) attack originating from your account; or (iv) any attempt to disrupt the integrity or availability of the platform.
The SetuVision platform, its user interface, design, features, code, algorithms, and all associated content (excluding your uploaded data) are owned by SetuLytix Private Limited and protected under applicable Indian and international intellectual property laws.
You may not copy, modify, distribute, reverse engineer, or create derivative works from the SetuVision platform or its website content without our prior written permission.
The export formats and dataset structures generated by the platform from your annotations are yours to use freely for your machine learning projects.
Bans on AI Training & Automated Extraction: You are strictly prohibited from using any automated bots, scrapers, crawler tools, or manual processes to scrape, harvest, or extract data, layout, or content from the SetuVision marketing website or platform to train competing artificial intelligence (AI), machine learning, or large language models (LLMs).
The SetuVision website and platform make use of third-party services including AWS, Google Fonts, and cal.com. These services are governed by their own terms and privacy policies.
We are not responsible for the content, practices, or availability of any third-party services. Links to third-party websites do not imply our endorsement of those services.
The SetuVision platform is provided on an "as is" and "as available" basis. We make reasonable efforts to maintain the platform's availability and accuracy, but we do not guarantee uninterrupted, secure, or error-free operation, or that AI-assisted annotations (e.g., Grounding DINO, SAM) will always be complete or accurate.
AI-assisted annotations should always be reviewed by a human annotator before use in production training pipelines. Features marked "Coming Soon" are not yet available and are subject to change.
Service Availability & Maintenance: While we strive to maintain high platform availability, SetuVision does not guarantee uninterrupted or continuous access. We reserve the right to suspend or restrict access to the platform for scheduled maintenance, system upgrades, server migrations, or emergency repairs. We will make reasonable efforts to provide advance notice of scheduled maintenance whenever feasible.
You agree to defend, indemnify, and hold harmless SetuLytix Private Limited, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the SetuVision platform; (ii) your violation of any term of these Terms and Conditions; (iii) the content, images, videos, or datasets you upload to the platform; or (iv) your violation of any third-party right, including without limitation any copyright, property, intellectual property, or privacy right (including claims under DPDPA or GDPR).
To the maximum extent permitted by applicable Indian law, in no event shall SetuLytix Private Limited, its affiliates, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, loss of data, loss of annotations, or any business losses resulting from reliance on the platform's outputs.
Our total liability in any matter related to this platform shall not exceed the amount you have paid us, if any, in the twelve (12) months preceding the claim. We strongly recommend maintaining your own backups of important datasets and annotation data.
These Terms and Conditions and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal actions or proceedings shall be brought exclusively in the courts of Anandpur kalu, Rajasthan, India, subject to the arbitration clause below.
Arbitration: Any dispute, controversy, or claim arising out of or relating to these terms, including its formation, breach, termination, validity, or performance, shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of the arbitration shall be Anandpur kalu, Rajasthan, India, and the proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding on both parties.

Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
Entire Agreement: These Terms and Conditions, alongside our Privacy Policy and any customized Data Processing Addendum (DPA) or service agreements, constitute the entire agreement between you and SetuLytix Private Limited regarding your use of the SetuVision platform.
Force Majeure: SetuLytix will not be liable for any delay or failure to perform its obligations under these terms resulting from causes beyond its reasonable control, including acts of God, strikes, labor disputes, cloud service provider or host failures (such as AWS downtime), internet outages, or governmental restrictions.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Export Control: You agree to comply with all applicable export control, re-export control, and economic sanctions laws and regulations of India, the United States, and other relevant jurisdictions. You represent and warrant that you and your users are not located in a country subject to comprehensive sanctions or trade embargoes, and are not listed on any restricted parties list maintained by relevant government authorities.
Survival: The provisions of these Terms which by their nature should survive termination shall survive, including without limitation: Section 5 (Your Data, Content & Export Grace Period), Section 7 (Intellectual Property & Scraping Bans), Section 9 (Disclaimers), Section 10 (Indemnification), Section 11 (Limitation of Liability), Section 12 (Governing Law & Arbitration), and Section 13 (General Provisions).
We may update these Terms and Conditions as the platform evolves. When we make material changes, we will update the "Effective Date" at the top and, where appropriate, notify registered users.
Continued use of the platform after changes are published constitutes your acceptance of the updated terms.
